Jodie Vasily-Cioffi

Jodie Vasily-Cioffi is a founder and Co-Managing Partner of Cambridge Law Partners, PLLC. With more than 25 years of corporate legal experience, she advises public and private life sciences companies, primarily in the biopharmaceutical sector, on commercial transactions, clinical research, corporate governance, and day-to-day legal and business matters.

Jodie brings substantial in-house and outside counsel experience to her practice. Before co-founding Cambridge Law Partners, she spent more than 11 years as a partner at Outside GC, LLP, where she served as outside and fractional in-house counsel to life sciences and other companies.

Earlier, Jodie spent more than ten years in Genzyme Corporation's legal department, from 2001 to 2011, a period of significant growth and increasing organizational complexity for the company. She ultimately served as Senior Corporate Counsel, Securities & Corporate Operations, and Assistant Secretary. In that role, she advised a large, publicly traded biotechnology company on a broad range of corporate, securities, governance, transactional, and operational matters.

Jodie worked closely with senior executives and business functions across the organization, providing practical legal guidance on matters arising in the ordinary course of the company's business as well as on significant corporate initiatives. Her responsibilities included public-company and securities matters, corporate governance, commercial and operational agreements, strategic transactions, and support for internal business teams.

Her years at Genzyme gave her firsthand experience working within a sophisticated in-house legal department during a period of rapid growth and change. She understands the competing priorities, time pressures, and business considerations faced by a General Counsel and legal team. That perspective enables her to step into an organization, quickly identify the matters requiring attention, work effectively with executives and business leaders, coordinate with internal and external advisers, and provide practical continuity during periods of transition or temporary need.

Earlier in her career, Jodie practiced at Palmer & Dodge LLP, a prominent Boston law firm that later became part of a larger national firm. Her work there included securities law compliance, capital markets transactions, mergers and acquisitions, and general corporate matters.

Having worked both in-house and in private practice, Jodie understands the need for legal advice that is clear, timely, and practical. She works closely with Chief Legal Officers, General Counsel, executive teams, boards, and business leaders to identify legal risks, address operational issues, establish priorities, and move important matters forward.

A significant part of Jodie's current practice involves advising biopharmaceutical companies on the agreements and documentation required to initiate and conduct clinical trials. She has extensive experience representing sponsors in the negotiation of Clinical Trial Agreements, Informed Consent Forms, HIPAA Authorizations, and related materials, and regularly works with clinical research organizations, academic institutions, hospitals, and private clinical trial sites in the United States and internationally.

Jodie also advises life sciences companies on research, development, manufacturing, and commercial arrangements, including Sponsored Research Agreements, Material Transfer Agreements, License Agreements, Manufacturing Agreements, Supply Agreements, Master Services Agreements, Consulting Agreements, and other strategic contracts.

In addition to her life sciences practice, Jodie serves as outside General Counsel to a private charitable foundation, advising its leadership on contracts, governance, risk management, and day-to-day legal matters. She also counsels clients on board and shareholder matters, advisory board arrangements, charters, bylaws, policies, and related governance documentation.

Jodie is known for her responsiveness, sound judgment, and ability to distill complex legal issues into practical advice that supports her clients' business and organizational objectives.
